Terms of Service

1. Acceptance of Terms

By accessing or using MD Aid, Inc. Practice Assistant ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Changes to Terms

We may modify these Terms of Service from time to time. If we make material changes, we will provide reasonable advance notice before they take effect — by posting the updated Terms on this page with a new effective date and, where feasible, by notice in the Service or by email. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If a clinic has entered into a Clinic Services Agreement with MD Aid, that agreement (and any Business Associate Agreement) controls over these Terms for the clinic to the extent of any conflict.

3. Description and Modification of Service

MD Aid, Inc. is a service that assists medical practices in delivering information to their patients using artificial intelligence. We reserve the right to modify, suspend, or permanently discontinue the Service (or any part or feature thereof) at any time, with or without notice, and without liability to you or any third party.

4. Medical Information Disclaimer

The information provided through the Service is for general informational purposes only and is not intended as medical advice. It is not a substitute for professional medical judgment, diagnosis, or treatment. The Service does not replace the doctor-patient relationship.

Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of information provided by the Service.

The Service is not for emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. The Service is not monitored, and messages sent through it will not reach your care team.

5. AI-Generated Content

Responses provided through the Service are generated using artificial intelligence technology. While we strive for accuracy, AI-generated content may contain inaccuracies or may not fully reflect your specific medical situation. All information should be verified with your healthcare provider before making any medical decisions.

6. User Responsibilities & Conduct

As a user of the Service, you agree to:

  • Be at least 18 years old, or use the Service with the involvement of a parent or legal guardian who accepts these Terms on your behalf.
  • Consult your physician or healthcare provider for all medical decisions.
  • Not rely solely on AI-generated responses for medical decisions.
  • Use the Service in compliance with all applicable laws and regulations.
  • Not attempt to misuse, reverse-engineer, scrape, or interfere with the Service or its underlying models.

7. License to User Input & Feedback

By submitting questions, chat messages, voice recordings, or feedback ("User Input") to the Service, you grant MD Aid, Inc. a non-exclusive, royalty-free license to use, reproduce, and process such User Input solely to operate, secure, and provide the Service to you and the clinic you interact with, subject to our Privacy Policy and any applicable Business Associate Agreement. We do not use User Input to train machine learning models, and we do not sell User Input. This license ends when your User Input is deleted in the ordinary course or at your request, except for limited backups retained for security and legal compliance.

8. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by MD Aid, Inc. and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without prior written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MD AID, INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS SERVICE.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

10. Dispute Resolution: Binding Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding individual arbitration before one arbitrator. The arbitration shall be administered by JAMS pursuant to its applicable rules and, for disputes with consumers, in accordance with the JAMS Consumer Arbitration Minimum Standards. The arbitration will be conducted in the county where you reside, at another mutually agreed location, or remotely by videoconference. Either party may instead bring an individual claim in small claims court.

Opt-out: You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing legal@md-aid.com with your name and the email address associated with your use of the Service. Opting out does not affect any other provision of these Terms.

Class Action Waiver:YOU AND MD AID, INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims.

11. Indemnification

You agree to indemnify and hold harmless MD Aid, Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.

12. Termination

MD Aid, Inc. reserves the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, in our sole discretion.

13. Governing Law, Venue & Severability

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions (the Federal Arbitration Act governs Section 10). Subject to the arbitration agreement in Section 10, any judicial action permitted under these Terms — including to compel or enforce arbitration, to seek injunctive relief, or to resolve any dispute not subject to arbitration — must be brought exclusively in the state or federal courts located in King County, Washington, and you consent to personal jurisdiction and venue there; this does not limit your right to bring an individual claim in small claims court in your home jurisdiction as described in Section 10. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
